1. Acceptance of Terms
By accessing or using the AlgoRelay software, website, or services (collectively, the "Service") provided by AlgoPulse Research Ltd ("the Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, do not use the Service. Your continued use of the Service constitutes your irrevocable acceptance of these terms and any future modifications.
2. No Financial Advice
The Service is a technical automation tool only. AlgoPulse Research Ltd is NOT a registered investment advisor, broker-dealer, or financial analyst. Nothing provided through the Service—including documentation, templates, or support communications—constitutes a recommendation to buy or sell any security or to adopt any investment strategy. All trading strategies and parameters are determined solely by you, the user.
3. ABSOLUTE LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALGOPULSE RESEARCH LTD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- TRADING LOSSES: Any financial losses incurred by you as a result of using the Service to automate trades. You assume 100% of the risk for all capital committed to the market.
- TECHNICAL FAILURES: Service interruptions, software bugs, errors, glitches, or inaccuracies in the processing of signals.
- THIRD-PARTY FAILURES: Connectivity issues, latency, or data errors originating from TradingView, your Brokerage (e.g., Alpaca), or any other external API or service provider.
- EXECUTION ERRORS: Orders placed with incorrect quantities, tickers, actions, or prices due to technical failure or user-configured logic errors.
- FORCE MAJEURE: Any event beyond our reasonable control, including but not limited to network outages, hardware failures, or market-wide "flash crashes."
4. Indemnification
You agree to defend, indemnify, and hold harmless AlgoPulse Research Ltd and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.
5. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
6. Risk Acknowledgement
You acknowledge that automated trading is inherently dangerous. Small errors in strategy logic or minor technical latencies can result in rapid and total loss of capital. You represent that you have sufficient knowledge to use the Service and that you have tested your strategies extensively in a simulated (paper trading) environment. Failure to use paper trading before live execution is a violation of these terms and is done entirely at your own peril.
7. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of AlgoPulse Research Ltd and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of AlgoPulse Research Ltd.
8. Severability & Waiver
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
